Purpose of Agreement

This Agreement outlines the terms and conditions under which the Company provides setup and logistics services to the Client, including but not limited to:

• Dedicated freight lanes
• Dispatch assistance
• Trailer rental
• Commercial insurance setup
• Factoring registration
• Access to high-paying loads through partnered shippers including Amazon & government contracts

Payment, refund policy, and liabilities

Slot Deposit Payment

A slot deposit of $375.00 is required prior to service activation.

Refundable Security Deposit

The refundable security deposit is a standard requirement designed to ensure commitment and protect both parties throughout the booking process. It acts as a temporary security measure in case of last-minute cancellations, no-shows, or other unforeseen issues that may affect the scheduled service.

This security deposit applies only to carriers whose MC authority is less than 180 days old or who have a USDOT number but have not yet received an MC number.

Once the contracted service or trip is completed successfully and all terms of the agreement have been met, 100% of the security deposit is refunded in full.

This policy helps maintain a reliable, secure, and professional working relationship while ensuring smooth and verified transactions for everyone involved.

Refund Policy

The $375.00 slot deposit fee is refundable after the Client completes their first delivery arranged by the Company

Other service fees are non-refundable once service begins, as these are time-sensitive administrative tasks

Refunds will be issued via the original payment method within 5–7 business days, if applicable

Client Responsibilities

The Client agrees to:

• Provide accurate legal business and driver information
• Maintain active authority (MC/DOT) and valid insurance, unless Company is assisting with setup
• Communicate in a timely and professional manner
• Not engage in fraud, chargebacks, or misrepresentation

No Employer-Employee Relationship

This Agreement does not create an employment relationship. The Client is an independent carrier and assumes all responsibility for tax, insurance, regulatory compliance, and FMCSA obligations.

Authorized Communication Only

If contacted by any unauthorized third party, the Client must verify with the Company before sending payments or documents.

Limitation of Liability

The Company is not liable for:

• Any loss of income due to delays, market rates, or missed loads
• Legal or regulatory penalties due to false or missing information provided by the Client
• Broker cancellations or third-party payment processing delays

Term and Termination

This agreement becomes effective upon payment and remains active until the completion of the contracted services. Either party may terminate in writing at any time. Refund terms apply as per Section 4.

Payment Terms

AMARAL LOGISTICS INC offers two convenient payment options:

1. Quick Payment

If you request payment immediately after successfully completing your round trip, a 2% quick-pay processing fee will be deducted from your daily payment.

2. Standard Payment (Within 24 Hours)

If you choose to receive your payment within 24 hours after completing your trip, no processing fees or additional charges will be deducted. You will receive your full daily payment.

How to Receive Your Payment

To ensure prompt payment, please complete the following steps after finishing your round trip before 8:00 PM:

• Email a clear copy of your signed Bill of Lading (BOL).
• Attach a copy of the Rate Confirmation issued by AMARAL LOGISTICS INC
• Send both documents to our designated payment email address.

Once your documents have been verified, your payment will be released directly to your preferred payment account according to the payment option you selected.

Bill of Lading (BOL) Update

After signing the Rate Confirmation and completing the refundable security deposit process (if applicable), you will receive a confirmation email regarding your Bill of Lading (BOL), along with a tracking number.

This confirmation is typically sent on the following business day or within 1–2 business days, depending on processing time.

This License is evidence of the applicant's authority to engage in operations, in interstate or foreign commerce as a broker, arranging for transportation of freight (except household goods) by Motor Vehicle.

This authority will be effective as long as the broker maintains insurance coverage for the protection of the public (49 CFR 387) and the designation of agents upon whom process may be served (49 CFR 366). The applicant shall also render reasonably continuous and adequate service to the public. Failure to maintain compliance will constitute sufficient grounds for revocation of this authority.

NOTE: Willful and persistent noncompliance with applicable safety fitness regulations as evidenced by a DOT safety fitness rating of Unsatisfactory or by other indicators, could result in a proceeding requiring the holder of this certificate or permit to show cause why this authority should not be suspended or revoked.
